NAOIM requires directors, officers, and other responsible participants to place the organization's interests ahead of undisclosed personal benefit.
Disclosure and review
Covered individuals must disclose actual, potential, or perceived financial and personal conflicts. The disinterested decision-makers will determine whether a conflict exists and what safeguards, including recusal, are required.
Documentation
Material disclosures, determinations, and recusals will be documented in the appropriate organizational records. The policy will be reviewed periodically and acknowledged by covered individuals.
